General Conditions of Terms

1. This tender will be valid upto 05.11.2007 to 31.07.2008 from the date of issue of letter of award of work and extendable thereafter by mutual agreement.

2. The ITPO reserves the right to reject any or all quotations received for the above job without assigning any reason thereof.

3. (i) The above job requirements are likely to be needed for about 14 days during IITF and may be required event before or after the said fair.

(ii) All installations and testing of stage lighting systems need to be completed to the satisfaction of General Manager, ITPO or his nominees.

(iii) The tenderer shall be responsible for the Security of all items or equipment installed by him ad no claim for loss or damage of items belonging to the tenderer shall be entertained by the ITPO.

(iv) All items installed by the tenderer shall be dismantled and removed from the premises of Pragati Maidan within one week of issue of the notice.

(v) The tenderer shall be responsible for the good conduct of all staff employed by him and ITPO will not be responsible for any compensation in the event of any accident to the tenderer or his staff in the course of performing their duties connected with the above work.

(vi) The dates on which various services are required will be communicated to the successful tenderer from time to time.

(vii) ITPO reserves the right to reduce of increase the number of shows to be actually performed.

4. All the work carried out and the services rendered shall be to the satisfaction of the General Manager, ITPO. In case of unsatisfactory work the quantum of penalty as, imposed by the General Manager, ITPO shall be final and binding on the contractor.

5. (i) The General Manager of ITPO would be the sole judge of the satisfactory execution of the job. It execution of the job is not to his satisfaction the job liable to rejected without any compensation to the party. The General Manager will however be at liberty to accept the same subject tot eh cuts in rates.

(ii) If the opinion of the General Manager the party fairs declines, neglects or otherwise delays to comply with any directions given or does not execute the job in terms of the contract or violate he terms of tender the general Manager shall be entitled and be at liberty to forfeit the security deposit it without pre judice to any other remedy which the authority might have on account of claim for compensation against loss and inconvenience.

iii) The party who will in the event under (ii) above will have no claim to any payment of compensation or otherwise whatsoever on account of any profit or advantage which the party might have derive from execution of the job in full but which did not derive in consequence of any notice.

iv) If such a notice is given before the party has commenced the work will not be entitled to any compensation, if however the work has been commenced before the receipt of such notice then in such a case the general manger will decide the amount to be paid to the party towards compensation for the work already done and his decision in this regards shall be final and binding on the party.

v) If during the currency of the contract, the specification and requirements are to be changed by the general manger the party shall supply the requisite material in accordance with new specifications. Any deduction of rates in this regard will be determined by general manger, ITPO.

vi) Whatever under the contract any sum of money is found recoverable or payable the party on account of any penalty imposed by the ITPO on account of unsatisfactory services unless the same is paid by the party by payment. The ITPO will be entitled and at liberty to deduct the same from any sum due from the party.

vii) The general manger may authorise such officers as we may wish to operate the contract on behalf of the ITPO and the party will accept and carry out the instruction given by such officers in connection with the work as if these were issued by the GM.

6. The agency will provide qualified license holder electricians only for the work.

7. Any accident / mishap occur during the installation or show will be the sole responsibility of the contractor. ITPO will not be responsible any way.

8. Any damage done to the theatre building will be made good by the contractor at his cost.

9. All disputes and deference and questions arising out of this contract whatever shall be referred to the sole arbitration no mined by the Chairman and Managing Director of the ITPO and if there is not Chairman by the administration Head of the INDIA TRADE PROMOTION ORGANISATION.

10. i) The award of the such arbitrator shall be final and binding on the parties to this contract.

ii) The venue of Arbitration proceedings shall be as decided by the arbitrator.

11. The agreement shall be subject to the jurisdiction of the courts in Delhi.

SPECIAL TERMS & CONDITIONS:

1. The intending tenderer must inspect the site of work and understand the actual quantum of work involved there in before submitting the tender. No request for additional payment for any kind of work shall be entertained.

2. The intending tenderer must confirm to undertake the whole job for providing of stage lights and provide sufficient number of trained technical staff available all the time or as & when required.

3. The rates must include all expenses like transportation of equipment to & pro Pragati Maidan service tax in order words, the rates must include all Govt. taxes.

4. No payment will be advanced. Full & final payment will be made only after satisfactory rendering of service.

5. The agency will have to work include coordination with other agencies while executing work and responsible for the good conduct of their staff.

6. The agency will ensure smooth functioning of equipment and make good immediately, if any equipment goes faulty. Sufficient number of additional equipment to be kept at site for immediate replacement.

7. The agencies should mention the details of brand name and model number of each equipment in their quotes and the a same have to be provided.

8. The successful tenderer shall be fully responsible for the security or all the items of equipment etc. installed by them and no claim for loss, damage of items belonging to the tenderer shall be entertained.

9. All the works carried out and service rendered shall be to the satisfaction of Competent Authority, ITPO in case of unsatisfactory service, the quantum of penalty imposed by the ITPO shall be final & binding on the tenderer.

10. ITPO reserves the right to make changes in the scope & quantum of work after receiving the tenderes.

11. ITPO reserves the right to reject any or all the quotations received without assigning any reason whatsoever.
